1. Eligibility
By using the Services, you represent and warrant that you are at least 18 years of age, or the age of majority in your jurisdiction, and that you have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of an entity, you represent that you are authorized to bind that entity to these Terms.
2. The Services and Products
We sell women's and lifestyle fashion products through the Site. We reserve the right, at any time and without prior notice, to modify, suspend, or discontinue any part of the Services or any product, to limit the quantities of any product we offer, and to refuse service to anyone for any lawful reason.
All descriptions of products and product pricing are subject to change at any time without notice, at our sole discretion. We make reasonable efforts to display the colors, features, and details of our products accurately. However, we do not guarantee that your device's display of any color or detail will be accurate, as this depends on your device and settings, which we cannot control.
3. Accounts
You may need to create an account to access certain features of the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when creating your account and to keep it up to date. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account.
4. Orders, Pricing, and Payment
Order acceptance. Your submission of an order constitutes an offer to purchase a product. All orders are subject to acceptance by us. We may, at our sole discretion, refuse or cancel any order for any lawful reason, including where the product is unavailable, where there is an error in the price or product description, or where we suspect fraudulent or unauthorized activity. A contract of sale is formed only once we confirm acceptance of your order or dispatch the product to you.
Pricing. All prices are listed in Pound Sterling (GBP, £) unless otherwise stated and are exclusive of any applicable taxes, duties, or shipping charges unless indicated at checkout. We reserve the right to correct any pricing errors, even after an order has been submitted or confirmed. If the correct price of a product is higher than the price stated, we will contact you before shipping to ask whether you wish to proceed at the correct price or cancel the order.
Payment. You agree to provide current, complete, and accurate payment information for all purchases. Payment is processed through third-party payment processors, and by submitting payment information you authorize us and our processors to charge the applicable amount. You represent that you have the legal right to use any payment method you provide.
Import duties and taxes. Your order is shipped to the United Kingdom. For orders with a total value of £135 or less, UK VAT is calculated and included at checkout, so no further charges are due on delivery. For orders exceeding £135, you may be responsible for import VAT and any applicable customs duties levied by UK customs (HMRC) upon arrival. These charges, where they apply, are not included in the product price or shipping cost and are your responsibility.
5. Shipping and Delivery
We will make reasonable efforts to ship products within the estimated timeframes stated on the Site. Delivery timeframes are estimates only and are not guaranteed. Risk of loss and title for products pass to you upon delivery to the carrier, except where mandatory UK consumer law provides otherwise. We are not responsible for delays caused by carriers, customs, or events outside our reasonable control.
6. Returns, Refunds, and Exchanges
Returns, refunds, and exchanges are governed by our Refund Policy, which forms part of these Terms. Please review it before making a purchase. If you are a consumer resident in the United Kingdom, you also have statutory cancellation and return rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the Consumer Rights Act 2015. Nothing in our Refund Policy limits these statutory rights.

The Services and all content on the Site — including text, graphics, logos, images, product designs, photographs, and software — are owned by or licensed to us and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. 8. User-Generated Content
If you submit reviews, comments, images, or other content to the Services ("User Content"), you grant us a non-exclusive, royalty-free, worldwide, perpetual, and transferable license to use, reproduce, display, adapt, and distribute that content in connection with the Services and our business. You represent that you own or have the necessary rights to the User Content you submit and that it does not violate the rights of any third party or any applicable law. We reserve the right to remove any User Content at our sole discretion.

To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes or limits any consumer rights that cannot be excluded or limited under the mandatory law applicable to you, including your statutory rights under the UK Consumer Rights Act 2015 that goods be as described, of satisfactory quality, and fit for purpose.

To the fullest extent permitted by applicable law, in no event shall we, our owner, or our affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Services or any products purchased through them. Our total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the amount you paid to us for the product giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you, and nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
13. Indemnification
You agree to indemnify, defend, and hold harmless Balvaire, its owner, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your breach of these Terms, your misuse of the Services, or your violation of any law or the rights of a third party.
14. Governing Law and Disputes
These Terms and any dispute arising out of or relating to them or the Services shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles. Where you are a consumer resident in the United Kingdom, you also benefit from any mandatory provisions of English law (or the law of the part of the UK in which you reside), and nothing in these Terms affects your rights as a consumer to rely on those mandatory provisions or to bring proceedings in the courts of your country of residence.
To the extent permitted by applicable law, any dispute shall be submitted to the competent courts of the Netherlands. Consumers resident in the United Kingdom may also be entitled to bring proceedings in the competent courts of the United Kingdom where required by applicable law.
15. Changes to These Terms
We may revise these Terms at any time by posting an updated version on the Site and updating the "Last updated" date. Changes take effect when posted. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
16. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be enforceable to the maximum extent permitted, and the remaining provisions shall remain in full force and effect.
